Natalie has practiced in the area of corporate and regulatory healthcare law for over a decade. After graduating law school, Natalie served in the transactional healthcare group at two large and prominent southeastern United States law firms. Natalie’s practice focuses on contract negotiation, business deals, and regulatory advice for various healthcare providers.
Natalie has represented hospitals, physicians, and physician practices in mergers and acquisitions, affiliations, and general transactional matters. She has also provided advice to non-traditional providers, including retail health clinics and medical spas. Natalie’s regulatory expertise includes licensing and permits, scope of practice, board of medicine and board of nursing rules, physician supervision, fee splitting, telemedicine, mobile services, state and federal fraud and abuse laws, and hospital compliance. Natalie’s contracting experience includes non-disclosure agreements, services agreements, employment and independent contractor agreements, commercial and vendor agreements, due diligence, letters of intent, and more.
Natalie also has experience in the health plan and third-party administration space, having served as General Counsel for a nationwide limited services health plan and benefit administrator. In this role, Natalie advised executive leadership with legal strategy, business contracting and disputes (including pre-litigation advice), risk management, and corporate governance. In addition to her role as General Counsel, she served as the elected Corporate Secretary of the client and its affiliates, in each case directly advising the board of directors.
Representative Matters
- Represent nonprofit hospital in all its operations, including vendor and provider contracting, compliance matters and investigations, state and federal regulatory issues, fraud and abuse, risk management, EMTALA, privacy and security, physician practice acquisitions, affiliations and business ventures.
- Advised nationally recognized retail health clinic and health maintenance organization on legal formation and complex regulatory and licensure matters relating to expansion on both state and national levels. Worked directly with, and served as intermediary between, state regulators and clients to clarify regulatory and licensing issues.
- Advised healthcare providers on state and federal self-referral laws, fee-splitting statutes, facility licensing, pharmacy and laboratory permits, corporate structuring and scope of practice rules. Providers include ambulatory surgery centers, medical spas, clinical laboratories, private practices and health care systems. Work directly with Boards of Medicine and state regulators to mitigate exposure.
- Represented healthcare companies in M&A transactions, including large physician practice with multiple offices in the State of Georgia with a $20 million sale of its assets to a leading national medical provider. Worked the deal from start to close, including due diligence and preparation of closing documents.
- Supported new healthcare technology company in its business formation, governance, and private equity offering in order to raise capital.
Advised large private University Health System on joint venture with neurology practice, including affiliation strategies. Assisted disproportionate share hospital in affiliation with private retail pharmacy, including 340B drug regulatory issues. - Represented private ophthalmology practice in preparation of documents relating to shareholder buy-out, including master transaction agreement, reissuance of stock certificates, settlement and release agreement and ancillary closing documents in compliance with operating agreement.
- Assisted professional legal practice with reissuance of business interests resulting from shareholder buy-in, including revision of corporate governance documents.
- Regularly advised telecommunications client on third-party subpoenas and risks stemming from privacy issues.
Assisted developmental disability mental health provider in the State of Georgia challenge adverse audit by Georgia Medicaid.
