Andrea Okoro is a healthcare regulatory and transactional attorney with extensive experience advising digital health innovators, payor‑facing companies, and traditional healthcare organizations. She brings a rare blend of legal precision, operational savvy, and startup‑tested judgment to clients navigating the complexities of healthcare regulations.

Andrea’s experience spans Medicare and Medicaid, HIPAA and state privacy laws, the Anti‑Kickback Statute, corporate practice of medicine, AI, and healthcare marketing. She partners with clients from early product development through commercialization, contracting and licensing, and post‑market compliance, offering practical, business‑aligned guidance at every stage.

Andrea brings a dual perspective shaped by significant in‑house leadership and Am Law 50 law firm experience. As Head of Legal & Compliance at Soda Health (Evermore), an early‑stage health tech company, she founded and built the legal department, oversaw the company’s CMS compliance program, and guided executive leadership through high‑stakes regulatory questions. She also negotiated licensing agreements with Fortune 100 companies and supported regulatory audits.

While practicing at McDermott Will & Emery in the firm’s nationally recognized healthcare practice, Andrea advised on M&A transactions, counseled clients through data breaches and state licensing regimes, and supported life sciences clients with research contracting needs. Andrea combines her in-house and law firm experience to provide clients with fractional general counsel services, risk-based regulatory advice, and strategic transactional support.

Andrea publishes and speaks on health law, policy, and bioethics.
