John E. Rosenbaum brings over 20 years of healthcare law, corporate transactional and startup company experience, having practiced at the preeminent global law firm White & Case and in private practice with Roche/Genentech, Cytokinetics and Omnicell, in addition to many life sciences and healthcare startups.  On a daily basis, John partners with clients at every stage of the product lifecycle from development and launch to post-market sales, manufacturing, licensing, IP protection and defense. He advises founders and emerging companies, as well as established enterprises through the full startup lifecycle, from formation and early-stage financing to growth capital and exit strategies.  Rosenbaum has many years representing companies in seed, venture, and growth financings, including SAFEs, convertible notes, and equity rounds, and advises on governance and equity incentives.   He skillfully guides clients through mergers, acquisitions, and other liquidity events with a focus on value creation and risk management.  He knows success—what works and what doesn’t, and how to avoid problems up front.

John offers practical, business aligned guidance at every stage. His clients include pharma, medical device and diagnostic companies, healthcare institutions and providers, telemedicine ventures, healthtech organizations, online health and wellness companies, mobile medical app developers, wearable / virtual / augmented reality / cognitive health technology ventures.

His areas of expertise include: Business formations, clinical trials and CRO management, research collaborations, HIPAA, FDA/FTC compliance, telemedicine, fraud and abuse (Stark and anti-kickback; Business & Professions Code 650), informed consent, licensing and IP protection, trademarks, mergers and acquisitions in the life sciences and healthcare spaces, technology agreements and general corporate law and corporate governance matters.

John is a member of The California State Bar.

An honors graduate and law review editor at the University of San Francisco Law School, Rosenbaum began his legal career as Law Clerk to the Chief Judge of the federal courts in central California.  Following eight years advising large corporate and startups at White & Case, he served as in-house counsel at the biotech leader Roche/Genentech.  Prior to law school, Rosenbaum was a director of finance and strategic planning at American Express Company where he helped to roll out the American Express Card in Japan and purchase one of the first seats on the Tokyo Stock Exchange sold to foreigners.  A graduate of The Wharton School of the University of Pennsylvania, he also holds an MBA in Finance from NYU.
